Terms of service

1. Agreement and authority

“ExemptionFlow,” “we,” “us,” and “our” refer to the provider of the ExemptionFlow service. “Customer” means the organization that creates, purchases, or controls a workspace. If you use ExemptionFlow for an organization, you represent that you are authorized to bind it to these Terms. If a signed order form, subscription agreement, data processing agreement, or other written agreement conflicts with these Terms, that signed agreement controls for the conflict.

2. Accounts and administrators

  • Provide accurate account information and keep it current.
  • Protect credentials and promptly report suspected unauthorized access.
  • Ensure workspace administrators grant only appropriate roles and permissions.
  • Accept responsibility for activity under Customer-controlled accounts, except to the extent caused by ExemptionFlow's breach of these Terms.

3. The service

  • We grant Customer a limited, nonexclusive, nontransferable right to use the service during the applicable trial or subscription term.
  • We may improve, modify, or discontinue features, provided we do not materially reduce paid core functionality during a current subscription term without reasonable notice.
  • Pilot, preview, beta, or evaluation features may be changed or discontinued and may be subject to additional limitations.
  • Support is available at support@exemptionflow.com. No response-time or availability SLA applies unless stated in a signed agreement.

4. Trials, subscriptions, and payment

  • The Essentials trial lasts 21 days, requires no payment card, and does not automatically convert into a paid subscription.
  • Paid plans, when offered and accepted, are billed at the price and cadence shown at checkout or in an order form. Stripe's checkout page is authoritative for the charge presented before purchase.
  • Paid subscriptions renew for successive periods unless canceled before renewal through the available billing controls or as stated in an order form.
  • Fees are exclusive of applicable taxes and, except where law or a signed agreement requires otherwise, are nonrefundable and noncancelable once charged.
  • We may suspend paid features for overdue undisputed amounts after reasonable notice. Capacity limits and trial-expiration restrictions described in the service may limit new work while preserving authorized access to existing records and exports.

5. Customer data

Customer retains its rights in data submitted to its workspace (“Customer Data”). Customer grants ExemptionFlow and its service providers a worldwide, limited license to host, copy, transmit, display, modify, and otherwise process Customer Data only as needed to provide, secure, support, and improve the service, comply with law, and enforce these Terms. This license ends when the data is deleted from active systems, subject to backups, legal retention, and the Privacy Notice.

  • Customer represents that it has all rights, notices, consents, and lawful bases needed to submit Customer Data and direct its processing.
  • Customer is responsible for the accuracy, quality, legality, retention, and use of Customer Data and for responding to requests from individuals whose information it controls.
  • Customer must not submit data that is unnecessary for certificate operations or data whose processing by the service would violate law or third-party rights.
  • Customer should export needed records before account closure or loss of access. Deletion and retention remain subject to applicable law, backup cycles, security needs, and any signed agreement.

6. Acceptable use

You may not, and may not help another person to:

  • Use the service unlawfully, deceptively, or to infringe privacy, intellectual-property, or other rights.
  • Probe, scan, bypass, or disrupt security, access controls, rate limits, or authentication.
  • Upload malware, harmful code, or content intended to compromise systems or people.
  • Reverse engineer, resell, sublicense, scrape, or use the service to build a competing product except where law expressly permits.
  • Use another person's account or upload link without authorization, or misrepresent identity or authority.

7. Certificate and tax decisions

ExemptionFlow organizes collection, completeness checks, review workflow, reminders, and exports. It does not calculate tax, determine nexus or taxability, certify exemption, legally validate certificates, file returns, or provide tax, legal, accounting, or compliance advice. Findings are workflow aids, not legal conclusions. Customer and its qualified advisers are solely responsible for certificate acceptance, tax treatment, retention duties, filings, and audit positions.

8. Intellectual property and feedback

ExemptionFlow and its licensors retain all rights in the service, software, documentation, branding, and related technology, excluding Customer Data. No rights are granted except as expressly stated. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or obligation, provided we do not publicly identify you as the source without permission.

9. Security and confidentiality

We use safeguards designed to protect Customer Data and limit access according to workspace roles. Customer must use the service consistently with its own security and compliance obligations. Each party will use reasonable care to protect the other party's nonpublic confidential information and may disclose it only to personnel, providers, advisers, or authorities with a need and an appropriate duty or legal right to receive it.

10. Third-party services

The service relies on third-party infrastructure, storage, database, email, authentication, payment, analytics, security, and monitoring providers. Their services may be governed by separate terms and may change. ExemptionFlow is not responsible for third-party products selected or connected by Customer, or for failures outside our reasonable control, but this does not limit obligations that cannot legally be excluded.

11. Suspension and termination

Customer may stop using the service and cancel a paid subscription through the available billing method, subject to its order terms. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, harm to the service or others, or if required by law. When reasonably practicable, we will provide notice and an opportunity to cure. Provisions that by their nature should survive—including payment obligations, intellectual property, disclaimers, liability limits, indemnity, and dispute provisions—survive termination.

To the extent permitted by law, Customer will defend, indemnify, and hold harmless ExemptionFlow and its affiliates, owners, personnel, and suppliers from third-party claims, damages, losses, and reasonable costs arising from Customer Data; Customer's or its users' unlawful use or material breach of these Terms; infringement or violation of third-party rights; or Customer's certificate-acceptance, tax, legal, or compliance decisions. This obligation does not apply to the extent a claim was caused by ExemptionFlow's breach, gross negligence, or willful misconduct.

15. General terms

  • Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations.
  • Customer may not assign these Terms without our consent, except with a merger or sale of substantially all assets; we may assign them as part of a reorganization or business transfer.
  • If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder stays effective. Failure to enforce a provision is not a waiver.
  • These Terms, the Privacy Notice, and any signed agreements are the entire agreement about the service and replace prior discussions on that subject.
  • We may update these Terms prospectively. Material changes will be posted with a new effective date and, when appropriate, communicated through the service or by email. Continued use after the effective date constitutes acceptance where permitted by law.
